Wilcom offers to buy Tii Network Technologies

Wilcom, Inc., a maker optical fibre identifiers, has offered to buy Tii Network Technologies  Inc.,which makes networking products for telcos and cablecos. Headquarted inBelmont, N.H., privately-held Wilcom has suggested it would acquire allof the outstanding shares of TII common stock for $1 a share, a 47 percent premium. Last week Tii reported a net loss of US$232,000 forquarter ending March 31, compared to net income of US$151,000 for theyear ago period. It blamed the loss on the sharp downturn of theeconomy.  Net sales quarter were US$5,749,000 compared to US$8,851,000for the comparable prior year period, a decrease of 35 per cent. Wilcommakes DSL splitters, fiber optic test equipment, line treatmentproducts, optical wiring solutions and fiber optic jumpers. TII, basedin Long Island, N.Y., makes NIDs, gateways and home networkingproducts, overvoltage surge protection, and connectivity solutions forthe communications industry.
