Siebel Systems Inc. in San Mateo, Calif., plans to make several corporate governance changes as part of an agreement to settle an excessive-compensation lawsuit filed last year by the Teachers’ Retirement System of Louisiana.
Among other steps, the CRM software vendor said it will add a new board member and ensure that only outside directors serve on its executive compensation committee.
